These terms apply to the software development, design, marketing and support services that Three Circle (“we”, “us”) provides to clients (“you”), and to the use of this website. Three Circle is registered at 7119 Parkwood Dr, Sachse, TX 75048, USA, and has an office in Poole, UK. If a signed proposal or contract says something different from these terms, the signed document applies.
1. Proposals and scope
Every project starts with a written proposal or estimate that describes the scope, timeline, price and way of working: a fixed-price project, time and materials, or a dedicated team. Work outside the agreed scope is estimated and agreed with you before we start it.
2. Prices and payment
- Our rates start from $35 per hour. Prices are in US dollars unless the proposal states otherwise.
- Fixed-price projects are paid in milestones: a deposit to start the work, then a payment as each agreed milestone is delivered.
- Time-and-materials and dedicated-team work is invoiced monthly for the time worked.
- Invoices are due within the period shown on the invoice. We may pause work while an invoice is overdue.
- Fees charged by third parties, such as hosting, app stores, domains, paid APIs and AI model usage, are paid by you, either directly or as agreed in the proposal.
3. Free design and MVP offer
We offer a free clickable design of 5 to 6 key screens with no obligation to continue, and you keep the design. A starter MVP (a small web app or a cross-platform mobile app) costs $3,000, or $1,500 when you have claimed the free design. Larger MVPs are quoted after scoping. The scope of the free design and the starter MVP is confirmed in writing before work starts.
4. Your responsibilities
You provide the information, content, accounts and access we need, and give feedback on designs, demos and milestones in good time. If input we need is late, the timeline may move accordingly.
5. Changes and revisions
The number of revisions included is set in your proposal; revisions are not unlimited. Changes that go beyond the agreed scope or the included revisions, such as new features or a change of direction, are estimated and agreed with you before we make them.
6. Delivery and acceptance
We work in stages, usually two-week sprints with a demo at the end of each. A milestone is accepted when you confirm it in writing or start using the work in production. If something does not match the agreed scope, tell us and we will fix it.
7. Ownership of the work
When all invoices for the work have been paid, you own the code, designs and content we created specifically for you, and you have access to your code repository. We keep ownership of our own pre-existing tools, libraries and know-how, and open-source components remain under their own licences. We only name you or show your project in our portfolio with your permission.
8. Confidentiality
We keep your business information, data and code confidential and use them only to deliver your project. We are happy to sign a non-disclosure agreement before you share details.
9. Bug fixing after launch
For 30 days after go-live, we fix free of charge any bugs in the work we delivered that stop it working as agreed. This does not cover new features, changes made by others, or problems caused by third-party services, hosting or devices. After 30 days, maintenance and support are available on an hourly or monthly basis.
10. Third-party services
Projects often rely on third-party services such as cloud hosting, app stores, payment providers and AI models. These services are governed by their own terms, and we are not responsible for their outages, price changes or changes to their APIs, although we will help you deal with them.
11. Cancellation and refunds
Either of us can end a project or engagement by written notice. You pay for the work completed up to the date of cancellation. Any amount you have paid in advance for work that has not been started is refunded. Payments for work already completed and third-party fees already incurred are not refundable.
12. Limitation of liability
We deliver our services with reasonable care and skill. To the extent the law allows, our total liability for any claim is limited to the amount you paid us for the work the claim relates to, and we are not liable for indirect losses such as lost profits or lost data. Nothing in these terms limits liability that cannot be limited by law.
13. Contact and support
Our team is available Monday to Friday, 9:00am to 7:00pm. Please contact us only through the details on our website: email info@threecircle.io, phone +1 (832) 464-8175 (US) or +44 7700 179177 (UK). We are not responsible for messages sent to any other address or number.
14. Governing law
These terms are governed by the laws of the State of Texas, USA, and any dispute will be handled by the courts of Texas.
15. Changes to these terms
We may update these terms from time to time. The date at the top shows when they were last changed. The terms in force when you sign a proposal apply to that project.
